50歲的如興董事長陳仕修，早年半工半讀赴歐美留學，讀到「王安電腦」的故事，啟發併購概念，也在許多投行部門工作過；17年前他因創業不慎，負債上億元，差點家庭失和，靠著房地產清償負債。

2008年，他因緣際會介入需要紓困的如興，帶如興度過難關。不料近年業績下滑，為了活下去，他找上全球牛仔褲第一大代工廠「玖地」談併購，面對外界小併大質疑聲浪，他不放棄，堅持了2年，還引進國發基金投資如興。

過去的失敗，讓他逼著自己要：「活下去、活得久、活得好！」

「這條是我們做的褲子，轉過來我看看！」國內牛仔褲代工大廠、如興紡織董事長陳仕修一見到我們的攝影記者，打完招呼的第一件事，就是盯著他身上的Levi's牛仔褲瞧，「穿多久了？在哪裡買的？」

一抵達柬埔寨金邊，陳仕修帶我們前往距離市區約1小時車程的1號公路43公里處，巡視全球第一大牛仔褲代工廠「玖地」的長泰廠，放眼望去，好幾千人密密麻麻，每個人坐在位置上，一個個熟練分工地縫製褲口袋、褲耳、褲帶，接著組裝。





陳仕修看到工廠內剛透過自動化工序完成的褲子，立刻拿下眼鏡，把褲子翻面，近距離看著車縫線、對稱度說：「褲子要看背面，正面加工效果多，又刷貓鬚又刷破的，看不出車工好壞?。」旁邊的陸籍幹部則急著向陳報告，數月後即將再擴建的水洗廠進度，以及用微生物做汙水處理再回收的成效。

戴著黑邊圓框眼鏡、50歲的陳仕修，個性低調不喜曝光，2年前，他宣布以約新台幣130億元現金收購香港玖地集團（JD United Holdings Limited），創下國內紡織業最大金額併購案，從原本排不進世界前10大，躍升成全球第一大牛仔褲代工廠，全世界市占率7％，年營收將達180億元，小廠如興併購大廠玖地的消息，頓時也成為資本市場的焦點話題。

仕修解釋：「在大者恆大趨勢下，估計未來牛仔褲代工大廠只會剩3到5家，我要不是Go Big（變大），就是Go Home（退出），如興選擇變大，透過併購才能壓低採購成本，人才互相流通，節省管理成本。」

專家這樣看小併大國外常見

小併大在國外十分常見，近年國內也陸續出現案例，比如早年中國聯想併購IBM個人電腦部門、明碁併購西門子的手機部門；去年台灣至少2例，像是振樺電用相當於比自己資本額還大4倍的資金吃下美國O2O自助服務平台龍頭KIOSK；環球晶圓原是全球第6大矽晶圓製造商，併購世界第4大的SunEdison，躍升全台灣最大、全球第3大的矽晶圓供應商。

如興不是特殊案例，也被主管機關認可合法，只是在傳統紡織產業內較少見。
